1. Acceptance of Terms

By accessing or using the Vertex Games website located at vertexgames.sg (the “Site”), you agree to be bound by these Terms of Service (“Terms”). These Terms govern your use of the Site only. Terms governing the use of our individual games, including in-app purchases, virtual items, and player accounts, are set out in the End User License Agreement (“EULA”) presented within each respective game.

If you are under 18 years of age, you must obtain your parent or legal guardian's consent before using this Site. By using the Site, you represent that you are 18 or older, or that you have obtained such consent.

These Terms constitute a legally binding agreement between you and Vertex Games Pte. Ltd., a company incorporated in Singapore (UEN: 202211401Z) (“Vertex Games,” “we,” “us,” or “our”).

2. Changes to These Terms

We may update these Terms from time to time. Material changes — including changes to dispute resolution procedures, data practices, or your substantive rights — will be communicated at least 30 days before taking effect, via a prominent notice on the Site and, where applicable, by email to your registered address.

For these purposes, a “material change” includes, without limitation: (a) changes to the governing law or dispute resolution forum; (b) changes to limitations of liability; (c) changes to data collection or sharing practices; and (d) any change that diminishes your legal rights. Minor editorial or formatting changes do not constitute material changes.

Your continued use of the Site after the effective date of any update constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Site.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a manner consistent with all applicable laws and regulations. You shall not:

• Transmit any content that is unlawful, harmful, defamatory, obscene, or abusive;
• Attempt to gain unauthorised access to any part of the Site or its related systems;
• Use automated tools to scrape, crawl, or index the Site without prior written permission;
• Interfere with or disrupt the integrity or performance of the Site;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to restrict or terminate your access to the Site if you violate these Terms. We will provide reasonable prior notice where practicable, except where immediate action is necessary to protect the security or integrity of the Site or other users.

4. Intellectual Property

All content on the Site — including text, images, graphics, logos, videos, and software — is owned by or licensed to Vertex Games Pte. Ltd. and is protected under applicable intellectual property laws, including Singapore's Copyright Act 2021 and equivalent legislation in other jurisdictions.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and view the Site for personal, non-commercial purposes only. No other licence is granted. In particular, no licence is granted to reproduce, republish, distribute, modify, or create derivative works from any Site content, or to use Vertex Games' trademarks, trade names, or logos, without prior written consent.

5. User-Submitted Content

If you submit content to the Site (for example, via contact forms, job application portals, or community features), you grant Vertex Games a worldwide, non-exclusive, royalty-free licence to use, reproduce, and display that content solely for the purpose of operating and improving the Site and our services. This licence does not extend to sublicensing your content to third parties for commercial purposes unrelated to our services.

You represent and warrant that: (a) you have the right to submit such content; (b) the content does not infringe any third-party intellectual property rights, privacy rights, or applicable law; and (c) the content is not false, misleading, or harmful.

We reserve the right to remove any user-submitted content at our discretion, including content that violates these Terms or applicable law.

6. Privacy and Data Protection

We are committed to protecting your personal data. All personal data collected through the Site is processed in accordance with our Privacy Policy and applicable data protection legislation, including:

• Singapore: Personal Data Protection Act 2012 (PDPA);
• European Union / EEA: General Data Protection Regulation (GDPR);
• United Kingdom: UK GDPR and Data Protection Act 2018;
• California, USA: California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA);
• Other jurisdictions: Equivalent local data protection laws as applicable.

You may exercise your data rights — including rights of access, correction, deletion, portability, and objection — by contacting our Data Protection Officer at the address set out in Section 11.

7. Third-Party Links and Services

The Site may contain links to third-party websites or services. These links are provided for convenience only. Vertex Games is not responsible for the content, accuracy, or practices of any third-party website, and the inclusion of a link does not imply endorsement.

We encourage you to review the terms and privacy policies of any third-party websites you visit.

8. Disclaimer of Warranties

The Site is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that: (a) the Site will be uninterrupted, timely, or error-free; (b) defects will be corrected; or (c) the Site or its servers are free of viruses or other harmful components.

Nothing in this Section excludes warranties that cannot be excluded under applicable consumer protection law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Vertex Games shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Site.

Nothing in these Terms limits or excludes Vertex Games' liability for:

• Death or personal injury caused by our negligence;
• Fraud or fraudulent misrepresentation;
• Any liability that cannot be excluded under the laws of Singapore, the EU, UK, or any other applicable jurisdiction.

For users in jurisdictions that do not permit the exclusion or limitation of incidental or consequential damages, our liability is limited to the greatest extent permitted by law.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

For users in the European Union or United Kingdom: Nothing in this Section prevents you from relying on any mandatory consumer protection provisions of the law of your country of residence, or from bringing a complaint before your local consumer protection authority or using the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

Dispute resolution process:

1. Negotiation: If a dispute arises, both parties agree to first attempt resolution through good-faith negotiation for a period of at least 30 days following written notice of the dispute.
2. Mediation (optional): If negotiation fails, either party may request non-binding mediation before the Singapore Mediation Centre (SMC).
3. Arbitration: If mediation fails or is not elected, disputes shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its Arbitration Rules in force at the time. The seat of arbitration shall be Singapore. The language of proceedings shall be English.

This arbitration clause does not prevent individual users from bringing claims before a small claims tribunal or equivalent court of competent jurisdiction in their country of residence where permitted by law.

12. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from the remaining provisions and shall not affect their validity and enforceability.

13. Entire Agreement

These Terms, together with the Privacy Policy and any applicable game EULA, constitute the entire agreement between you and Vertex Games with respect to the subject matter hereof and supersede all prior agreements or understandings.
